This agreement is between SJ Carpentry LLC (“SJ Carpentry,” “we,” “us”) of Circle Pines, Minnesota and the person using SJC OS (“you”). By signing in to or using SJC OS, you agree to these terms. If you do not agree, do not use SJC OS.
1. License
SJ Carpentry grants you a limited, non-exclusive, non-transferable, revocable license to use SJC OS for the internal business purposes of SJ Carpentry LLC, and only if you have been given an account by SJ Carpentry. SJC OS is licensed to you, not sold.
2. Accounts and access
- Accounts are created and managed by SJ Carpentry. You may not create accounts on your own.
- Keep your sign-in credentials private and do not share them. You are responsible for activity under your account.
- Tell us right away if you believe your account has been used without your permission.
- We may limit, suspend, or end any account at any time.
3. What you may not do
- Copy, modify, reverse engineer, or resell SJC OS or any part of it.
- Use SJC OS to break the law, to send unwanted messages, or to harm others.
- Try to get around access controls or view information you have not been given access to.
- Introduce malicious code or interfere with the operation of SJC OS.
4. Third-party services, including QuickBooks Online
SJC OS can connect to services provided by others, including QuickBooks Online from Intuit. Those services are governed by their own terms and privacy policies. You may connect a QuickBooks company file only if you are authorized to do so for SJ Carpentry LLC. You can disconnect at any time from your Intuit account or from QuickBooks Online. We are not responsible for the availability or behavior of third-party services.
5. Your information
You and SJ Carpentry keep whatever rights you already have in the information entered into SJC OS. How we handle that information is described in our Privacy Policy, which is part of this agreement.
6. Ownership
SJC OS, including its software, design, and content, belongs to SJ Carpentry LLC or its licensors. These terms give you no ownership rights in it.
7. No professional advice
SJC OS shows estimates, budgets, and financial figures to help run the business. It does not provide accounting, tax, or legal advice. Check important figures against your QuickBooks Online records and consult a qualified professional when needed.
8. Disclaimer of warranties
SJC OS is provided “as is” and “as available.” To the fullest extent the law allows, we make no promises that it will be uninterrupted, error-free, or suited to a particular purpose.
9. Limit of liability
To the fullest extent the law allows, SJ Carpentry will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or lost data, arising from your use of SJC OS. Nothing in this agreement limits liability that cannot be limited by law.
10. Ending this agreement
This agreement lasts until it is ended. We may end it and your access at any time. You may end it by no longer using SJC OS. Sections that by their nature should continue, such as ownership, disclaimers, and limits of liability, continue after it ends.
11. Governing law
This agreement is governed by the laws of the State of Minnesota, without regard to conflict of law rules. Disputes will be handled in the state or federal courts located in Minnesota.
12. Changes
We may update this agreement from time to time. The effective date at the top shows when it was last changed. Continuing to use SJC OS after a change means you accept the updated terms.
